Terms of Service

By accessing or using the NorthRiver Trade website (the "Site"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, you must not use the Site.

You must be at least 16 years old to use the Site. If you are between 16 and the age of majority in your province or territory, you may use the Site only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes both you and that organization.

NorthRiver Trade provides an online platform focused on investment and trading education, market overviews, watchlists, research workflows, and planning utilities such as scenario and position-sizing tools (collectively, the "Services"). The Services are intended to support a structured research process.

The Services do not constitute brokerage, order execution, portfolio management, tax advice, legal advice, or individualized investment advice. Any content, calculators, or examples provided are for informational and educational purposes and may not be complete, accurate, or suitable for your circumstances.

We may change, suspend, or discontinue any part of the Services at any time, including features, availability, supported devices, or content libraries. We may also impose limits on certain features to protect the Site, users, and our business operations.

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You are responsible for your own investment decisions and for verifying information before acting on it.

If the Site offers account functionality now or in the future, you agree to provide accurate information, keep your credentials confidential, and promptly notify us of unauthorized access. You agree that you will not share accounts and that one account is intended for one person unless we explicitly allow otherwise.

You agree not to interfere with the normal operation of the Site, including its security features, rate limits, or access controls. You also agree not to use automated systems to access the Site except where explicitly permitted.

The Site and Services, including all text, graphics, layouts, software, code, and design elements, are owned by NorthRiver Trade or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. This license does not permit you to reproduce, distribute, publicly display, modify, create derivative works from, reverse engineer, decompile, or otherwise attempt to extract source code from any part of the Site.

All trademarks, service marks, and logos displayed on the Site are the property of their respective owners. Nothing in these Terms grants you any right to use any trademark without the prior written permission of the owner.

You agree not to engage in any activity that could harm the Site, other users, or NorthRiver Trade. Prohibited activities include, but are not limited to:

• Accessing or using the Site for unlawful, fraudulent, or deceptive purposes.
• Attempting to gain unauthorized access to any system, account, or network.
• Introducing malware, viruses, or other harmful code, or attempting to disrupt or overload the Site.
• Scraping, crawling, harvesting, or extracting data from the Site using automated means without our express permission.
• Reverse engineering, decompiling, or attempting to discover source code or underlying ideas of the Site.
• Impersonating any person or entity, or misrepresenting your affiliation with a person or entity.
• Spamming, distributing unsolicited promotional messages, or using the Site to send deceptive communications.
• Uploading or transmitting content that infringes third-party rights, including intellectual property rights or privacy rights.
• Using the Site to create or distribute content that is hateful, violent, or otherwise illegal.

We may investigate suspected violations and may cooperate with law enforcement as required by applicable law.

The Site and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NorthRiver Trade disclaims all warranties and representations, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components. We do not warrant that content, market summaries, calculators, or tools are complete, current, or accurate. Any reliance you place on the Site is at your own risk.

Market data, pricing, and instrument details may be delayed, incomplete, or sourced from third parties. You should confirm any critical information independently before making financial decisions.

To the maximum extent permitted by applicable law, NorthRiver Trade and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of data, business interruption, or loss of goodwill arising from or related to your use of, or inability to use, the Site or Services.

To the maximum extent permitted by applicable law, NorthRiver Trade's total liability for any claim arising out of or relating to the Site or Services will not exceed the amount you paid to NorthRiver Trade in the twelve (12) months preceding the event giving rise to the claim, or 100 EUR, whichever is lower.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless NorthRiver Trade and its directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) your infringement of any third-party right.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

The Site may reference or display content that originates from third parties and may include links to third-party websites or services. We do not control and are not responsible for the content, policies, security, or practices of third parties.

Your use of any third-party website or service is at your own risk and is subject to the third party's terms and privacy practices. We encourage you to review third-party policies carefully before providing information or relying on third-party content.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Site, you acknowledge that you have read and understood our Privacy Policy.

These Terms and any dispute arising out of or relating to the Site or Services will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to the Dispute Resolution section below, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over any action or proceeding arising out of or relating to these Terms or your use of the Site.

Before starting any formal legal proceeding, you agree to contact us and attempt to resolve the dispute informally for at least thirty (30) days. You can contact us using the details in the Contact section below. Please describe the issue and the relief you seek.

If we cannot resolve the dispute informally within the 30-day period, either party may commence a proceeding in the courts identified in the Governing Law section, unless applicable law requires a different forum.

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, pose a security risk, or have engaged in conduct that could harm other users or NorthRiver Trade.

Upon termination, your right to use the Site will immediately cease. Sections that by their nature should survive termination will survive, including: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and Contact.

We may update these Terms from time to time. Changes will become effective fourteen (14) days after they are posted on the Site, unless a change must take effect sooner to comply with legal requirements or to address security risks.

Your continued use of the Site after the effective date of an update constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.
